Banking & Finance

  • Assisted numerous onshore/ offshore financial institutions in their financing facilities in Vietnam, and advised various regulatory and compliance matters in relation to their operations in Vietnam.
  • Assisted in a syndication loan of US$350 million (including US$178 million term loan facility and a US$200 million guarantee facility) to finance a commercial housing development project in Vietnam for a Singaporean real estate developer.
  • Assisted a Singaporean real estate developer and its subsidiaries on several term loan facilities obtained from offshore banks to finance its development projects comprising of ready-built factories and build-to-suit industrial facilities.
  • Assisted a China commercial bank in its US$240 million facility for financing of the wind power project in Vietnam.
  • Assisted a Singaporean healthcare group in structuring VND475 billion onshore acquisition facility to finance its acquisition of land lots and its development projects.
  • Acted as Vietnam counsel for a renewable energy group in its financing transactions for the US$150 million solar farm in Ninh Thuan Province.
  • Acted for one of Asia’s leading venture debt and lending platforms in providing a venture debt loan to one of Vietnam’s largest e-commerce companies.
  • Advised a Thailand-based payment company regarding its intermediary payment services and e-commerce operations in Vietnam, including legal advice on market entry, requirements and restrictions, options and structure and strategy for the bank to invest in these sectors in Vietnam.
  • Assisted Maybank in the process of disposing of security assets in Vietnam, including providing legal advisory work on the seizure of security assets, private/direct sale of the secured assets, etc., and assisting in drafting and reviewing the necessary documents.
  • Advised a Singapore-based conglomerate in the financing and restructuring of one of the largest private healthcare networks in Vietnam.

Corporate and M&A

  • Advised Fairfax Financial Holdings in its strategic investment into HOSE-listed BIDV Insurance Corporation for approximately US$60 million.
  • Acted as Vietnamese counsel to Sea Limited in connection with its US$884 million initial public offering on the New York Stock Exchange, with an over-allotment option for the underwriters to purchase an additional 8.84 million American Depository Shares.
  • Assisted one of the largest tourism and hospitality groups in Asia in its joint venture with Vietnam’s largest privately owned conglomerate for the development of a US$2+ billion casino and resort project in Vietnam.
  • Assisted Keppel Land in its acquisition and divestment in various projects in Vietnam.
  • Acted for Sea Limited in its acquisition of shares in various target companies in Vietnam.
  • Acted as Vietnamese counsel to Crystal International Group in connection with its HK$4.5 billion IPO on the Hong Kong Stock Exchange.
  • Assisted in all phases of the transaction of Mapletree Investment’s acquisition of Kumho Asiana Plaza, a Grade-A mixed use property located in the heart of Ho Chi Minh City.
  • Acted for CapitaLand in its acquisition of real estate projects in Vietnam.
  • Acted for ThomasLLoyd in its acquisition of multiple rooftop solar power projects in Vietnam.
  • Acted for a Singaporean leading chool in its proposed acquisition of three preschools in Vietnam.
  • Acted for Melia in various projects in Vietnam.
  • Assisted Basf on various pharmaceutical matters.
