Trinh Minh Duc, a qualified lawyer of the Ho Chi Minh City Bar Association, is a Senior Counsel at Rajah & Tann LCT Lawyers, practising in both contentious and non-contentious matters.

Duc has practiced at the firm since its inception in 2006.

He is qualified lawyer in Vietnam with over 17 years of legal practice experience. He has been strongly regarded for his technical expertise in foreign investment law and his experience equips him with the knowledge to advise on both the black-letter law and the law as it is applied in practice in Vietnam.

He has been involved in dozens of M&A transactions and real estate and infrastructure projects over his career, including those of key national significance. His representative clients comprise some of the largest companies in Asia keen to expand their projects in Vietnam.

Corporate/ M&A

  • Assisted a Japanese sogo shosha on the incorporation of a general trading company to distribute several hundred HS codes, one of the first of its kind in Vietnam.
  • Assisted a Swiss multinational group in acquiring a Vietnamese flavours and fragrances manufacturing company.
  • Assisted a Japanese investor in acquiring a more than 20% equity stake in a Vietnamese listed logistics company, one of the few successful acquisitions in this restricted line of business.
  • Assisted a leading education and technology company in structuring and getting license for its educational book business in Vietnam.
  • Assisted a Malaysian company in its acquisition of an international private healthcare group with an extensive network of hospitals across Vietnam.
  • Advised a global leader in sustainable aquaculture feeds in acquiring shares in a local company and setting up a joint venture with local partner to manufacture aquaculture feeds in Vietnam.
  • Advised a leading Chinese cement manufacturer in its US$250+ million takeover of one of Vietnam’s largest cement companies.
  • Assisted a lot of clients in doing business in Vitenam, including incorporation of foreign owned companies and establishment of representative offices.

  • Advised Novelis Inc. on Vietnamese law matters for its subsidiary’s entrance into a US$1+ billion revolving credit agreement.
  • Advised Taiwan-based banks, such as Taipei Fubon Bank and SinoPac Bank in their credit facility transactions to lenders in Vietnam, each with the value from US$60 million to US$80 million.
  • Advised Mapletree in their credit facility transactions with banks in Vietnam for getting funds and bank guarantees for a residential real estate project.
  • Advised a leading Chinese energy engineering company in structuring and creating security documents to secure the payments under their EPC contracts for energy projects in Vietnam.

Construction & Real Estate

  • Advised the Paujar Group, a Taiwanese conglomerate, on its development of the Docklands residential project in District 7 and its lease of offices in a condominium project in District 11, HCMC.
  • Advised a leading Singaporean real estate developer on its development (and subsequent sales and leasing arrangements) of its shopping complex and commercial real estate developments across southern Vietnam.
  • Advised a leading Singaporean real estate developer on its numerous investment projects in Binh Duong province and HCMC.
  • Advised a Chinese real estate developer on its planned multibillion-dollar project development in Vietnam, including the exploration of PPP models.
  • Assisted a Singaporean real estate developer in its sale of an industrial zone infrastructure development company in Vietnam to a US investor.
  • Advised a leading Vietnamese real estate developer in its joint venture with a Singaporean real estate developer to develop real estate projects in Hanoi and HCMC.
  • Assisted Far Eastern Group in sublease of a large-scale land in Bau Bang Industrial Zone, Binh Duong province to implement an investment project with total investment capital of US$760 million.
